LEGAL_BINDING_AGREEMENT

Before registering an account, placing an order, or using any computing infrastructure provided by VPSNIX (the "Service"), please read these Terms of Service (this "Agreement") carefully. By clicking to accept or by actually using our Service, you unconditionally, fully, and irrevocably accept all terms of this Agreement.

SEC_01

Acceptance and Modification of the Agreement

VPSNIX reserves the right to unilaterally modify the terms of this Agreement at any time. Revised terms take effect immediately upon publication on the official website, and we are under no obligation to send you separate notice of any changes。

You are responsible for reviewing this page regularly. If you continue to use any VPSNIX Service after terms are modified, that constitutes full acceptance of all changes. If you do not agree to the revised terms, your sole remedy is to immediately stop using the Service and close your account.

Service Provision and Ownership

We grant you a limited, non-transferable, non-exclusive right to remotely access the physical Mac node assigned to you over the network. This does not constitute a sale of any hardware device.Ownership of all physical machines, storage media, and network interfaces assigned to you always remains with VPSNIX.

VPSNIX reserves the final right of interpretation of the Service and may, without prior notice, adjust the physical location of data centers, change IP address allocation policies, or perform underlying hardware network migrations at any time.

Fees, Renewal, and Refund Policy

Important Notice

All payments and orders on the VPSNIX Console (including daily, weekly, monthly rentals and all add-ons) are, in principle, non-refundable once payment is successfully processed.

Auto-Renewal:For subscription plans other than one-time daily rentals, the system will automatically charge the next billing cycle 24 hours before the current period ends. To avoid renewal, you must actively release the node。
Pricing Changes:VPSNIX may adjust the price of any plan at any time. New prices take effect automatically in your next billing cycle.
Overdue Suspension and Reclamation:If an automatic charge fails, we will immediately disconnect your node from the network. If payment is not settled within 24 hours, the node will be wiped and forcibly reclaimed. We are not liable for any data loss resulting from this.

Data Responsibility and Backup Obligations

You fully understand and agree that running workloads on cloud physical infrastructure carries inherent risks of hardware failure.

Important Notice

VPSNIX does not provide any form of automatic data backup. You are solely responsible for backing up all data, code, system state, and business configurations stored on the node SSD.

VPSNIX bears no liability for compensation or remediation for any data loss caused by hardware aging or failure, network outages, force majeure, or physical-level data erasure triggered by overdue payment or voluntary lease termination.

Usage Restrictions and Violations

To maintain the electromechanical stability of data centers, you may not use the leased physical node for any of the following activities. VPSNIX has sole discretion to determine and adjudicate violations:

Cryptocurrency Mining Prohibited:Using Apple Silicon compute for any form of cryptocurrency mining is strictly prohibited. Upon discovery, we will immediately ban the account, confiscate the node, and issue no refund.
Network Attacks and Abuse Prohibited:Launching DDoS attacks, port scanning, distributing malware, sending spam, or hosting any content that violates local or applicable law is prohibited.
Hardware Damage Prohibited:Attempting to flash underlying firmware, overclock, or engage in any behavior that may cause irreversible physical hardware damage is prohibited. If hardware damage occurs, VPSNIX may require you to fully compensate the original purchase price of the device.

Service Suspension and Termination

To protect the platform and other users, we reserve the right to suspend or terminate your Service without prior notice：

We have reasonable grounds to suspect you have violated any provision of this Agreement;
Law enforcement agencies, government authorities, or court orders require it;
Your node generates abnormal traffic that disrupts the stability of our data center network or other users.

After Service termination, all your Console access will be revoked. We are under no obligation to retain, restore, or transfer any data stored on the machine.

SEC_07

Limitation of Liability and Cap on Damages

To the maximum extent permitted by applicable law, VPSNIX and its affiliates, directors, and employees shall not be liable for any indirect, punitive, incidental, special, or consequential damages (including but not limited to loss of profits, loss of business reputation, or data loss), whether arising from breach of contract, tort, or any other cause.

Important Notice

The total cumulative liability of VPSNIX to you shall not exceed the total base rental fees you actually paid to VPSNIX in the 30 days preceding the event giving rise to the claim.

SEC_08

Governing Law and Dispute Jurisdiction

The execution, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the jurisdiction where the designated VPSNIX operating entity is located. Any dispute arising from this Agreement shall first be resolved through negotiation. If negotiation fails, either party may file a lawsuit with a court of competent jurisdiction in the location of the VPSNIX operating entity.
